Eligibility Rules
To be considered for the Program, an applicant must, at minimum:
- Age: Be at least 18 years of age and legally competent to enter into a contract under Indian law.
- Identity & bank details: Provide accurate, complete and verifiable identity, contact, address, PAN and bank account details.
- Tax: If applicable, provide a valid GSTIN and other tax registration details as required.
- No conflict: Not be a current employee, contractor, intern, vendor, reseller or service provider of DAAI unless expressly authorised in writing.
- Lawful status: Not be restricted from receiving payments under Indian law or any applicable sanctions list.
- Compliance: Comply with the Terms & Conditions, applicable laws and DAAI’s reasonable directions at all times.

Commission & Reward Structure
Commissions are calculated only on the net subscription value actually received and retained by DAAI from the Referred Customer, excluding all taxes (including GST), discounts, refunds, chargebacks, third-party fees, implementation charges, training charges, hardware costs, add-on services, professional services, customisation charges and any non-subscription revenue.

Plans & revenue excluded from commission
- Free trials, freemium plans, lifetime free editions and pilot / POC deployments.
- Promotional, complimentary, internal, employee or test accounts.
- Plans purchased using coupons, vouchers, deep discounts or special pricing — DAAI may, at its discretion, exclude such plans or apply a reduced commission.
- Setup fees, onboarding fees, training, customisation, integration, hardware, third-party software, marketplace fees, and any non-subscription line items.
- Renewals, upgrades, add-ons and expansions that occur after the 36-month commission period has ended.
- Revenue from any customer already present in DAAI’s sales pipeline, CRM, prior conversations, prior trial sign-ups, prior demos, prior quotations, or prior contact history before the referral was registered.
Referral Qualification Rules
A referral will be treated as a “Qualified Referral” and eligible for commission only if all of the following conditions are satisfied. DAAI’s determination of whether a referral is qualified shall be final.
- Attribution. The Referred Customer must purchase using the Partner’s unique referral link or code, or be formally mapped to the Partner in DAAI’s CRM before the customer makes any payment.
- New customer. The Referred Customer must be a genuinely new business prospect, not already present in DAAI’s CRM, sales pipeline, ongoing conversation, prior demo list, prior quotation history, abandoned cart records, or prior trial sign-up.
- Successful paid subscription. The Referred Customer must complete a paid subscription, with cleared funds actually received and retained by DAAI for the relevant billing period.
- Same legal entity. The paying customer entity must match the entity identified at the time of referral. Substitutions, related parties or sister concerns may, at DAAI’s discretion, be disallowed.
- No manipulation of attribution. Cookie stuffing, link tagging tricks, code stuffing, last-click hijacking, IP masking or any other technical / non-technical means to claim attribution is strictly prohibited.
- Ethical marketing. The lead must have been generated through legitimate, consent-based outreach — not via spam, unsolicited bulk messaging, fake reviews, misleading ads, impersonation, deceptive landing pages or trademark misuse.
- Compliance period. The Referred Customer must remain active and in good standing during the period for which commission is being claimed; cancellations, refunds, chargebacks or non-renewals will impact commission as set out in these terms.

Minimum payout threshold
- The minimum payout threshold is INR 5,000 per cycle, net of all deductions.
- If the verified commission balance for a cycle is below the threshold, the balance will be carried forward to the next eligible cycle.
- If a Partner remains inactive, unverified, blocked or otherwise non-compliant for twelve (12) consecutive months, DAAI reserves the right to forfeit any accumulated but un-paid balance.
Mode of payment
- All payouts are made via Indian bank transfer (NEFT / RTGS / IMPS) to the verified bank account on record.
- DAAI does not pay out via cash, cryptocurrency, gift cards, wallets, third-party processors or to any account whose name does not match the registered Partner.
- Bank charges, currency conversion losses, intermediary bank fees and any reversal penalties shall be borne by the Partner.
Verification window
DAAI may withhold any payout for up to one hundred eighty (180) days from the end of the relevant quarter for fraud screening, refund risk assessment, KYC re-verification, tax compliance checks or dispute resolution. No interest shall accrue on withheld amounts.
Refunds, reversals & chargebacks
- If a Referred Customer’s payment is refunded, reversed, charged back, disputed, written off, or otherwise not retained by DAAI, the corresponding commission shall be cancelled or recovered from current or future payouts.
- If recoverable amounts exceed the available balance, the Partner agrees to refund the excess amount to DAAI within fifteen (15) days of written demand.
Fraud Prevention & Abuse Policy
DAAI maintains a zero-tolerance approach toward referral abuse. The following practices are prohibited and may result in immediate disqualification of referrals, forfeiture of commissions (including approved but unpaid amounts), suspension or termination of the Partner account, and, where applicable, civil or criminal action.
- Self-referrals, direct or indirect, including referrals routed through family members, employees, employers, business entities under common control, or any account substantially controlled by the Partner.
- Fake, fictitious, dormant, shell or non-operational customer entities.
- Duplicate referrals using multiple Partner accounts to claim the same customer.
- Submitting referrals for customers who are already DAAI customers, prospects, demo attendees, trial users, or in DAAI’s active sales pipeline.
- Generating leads via spam (email, SMS, WhatsApp, social DMs, cold calling lists), unsolicited bulk messaging, scraped data, or purchased contact lists.
- Misrepresenting DAAI’s pricing, features, roadmap, performance, certifications, integrations or compliance status.
- Promising or providing cash-backs, kickbacks, side payments, discounts, gifts, services or any inducement (financial or non-financial) to the Referred Customer in exchange for signing up.
- Bidding on DAAI’s brand keywords, trademarks, domain variants or running pay-per-click ads that impersonate DAAI without prior written consent.
- Using fake reviews, fake testimonials, deceptive landing pages, copycat domains, or “lookalike” websites.
- Attempting to manipulate referral tracking, attribution, cookies, browser fingerprints or any technical attribution mechanism.
- Using any automated software, bots, scripts or AI agents to generate leads, sign-ups or traffic.
- Engaging in any activity that violates applicable laws including the Information Technology Act, Consumer Protection Act, Digital Personal Data Protection Act, advertising standards and anti-spam regulations.
Disqualification Conditions
A referral, commission entry or Partner account may be disqualified (in whole or in part) at DAAI’s sole discretion in any of the following circumstances:
- The referral does not meet the “Qualified Referral” conditions described above.
- The Referred Customer cancels, downgrades, defaults on payment, or fails to renew within the commission period.
- The Partner fails KYC, address verification, bank verification, PAN verification or GST verification.
- The Partner provides incorrect, incomplete, misleading or forged information at any stage.
- The Partner breaches any clause of the Terms & Conditions or any applicable law.
- The Partner brings the DAAI brand into disrepute, publicly or privately.
- DAAI receives credible complaints from Referred Customers, prospects, regulators or other Partners regarding the Partner’s conduct.
- The Partner’s conduct exposes DAAI to legal, financial, regulatory or reputational risk in the Company’s reasonable judgement.
- The Referred Customer requests removal of the Partner’s attribution.
- The Partner is found to be a competitor, affiliated with a competitor, or otherwise has a conflict of interest.
Disqualification may result in the cancellation of pending commissions, the recovery of previously paid commissions, blacklisting from future Programs, and reporting to relevant authorities where applicable.
Company Rights & Discretion
The Program is operated, controlled and administered solely by DAAI. Without limiting any other right available under law or these terms, DAAI expressly reserves the unrestricted right to:
- Approve, reject, suspend or terminate any application or Partner account at any time, with or without notice and without assigning any reason.
- Approve, reject, reverse, adjust or cancel any referral, commission entry or payout.
- Modify, reduce, increase, restructure, pause or discontinue commission rates, slabs, tiers, qualifying products, plans or commission durations at any time.
- Hold, delay or withhold any payout pending verification, fraud screening, regulatory clearance, dispute resolution or audit.
- Cancel or claw back fraudulent, suspicious, duplicate or non-compliant referrals.
- Define, redefine and re-interpret what constitutes a valid referral, a qualifying customer, a qualifying plan and a qualifying payment.
- Update, amend or replace these Terms & Conditions at any time by publishing a revised version on this page; continued participation thereafter shall constitute acceptance.
- Terminate the Program in whole or in part with respect to any region, product, plan or Partner category at any time, with or without notice.
- Interpret these terms; the Company’s interpretation shall be final and binding on all Partners.
- Initiate civil, criminal or regulatory proceedings against any Partner who engages in fraud or willful breach.
Referral Tracking Limitations
DAAI uses commercially reasonable mechanisms to track referrals, including referral codes, tagged URLs, browser cookies, server-side attribution and CRM mapping. However, no tracking system is perfect. The Partner acknowledges and agrees that:
- Cookies may be deleted, blocked, expire, or be unavailable on certain browsers, devices or privacy modes.
- Referral codes may not be entered correctly by the Referred Customer, in which case attribution may not occur.
- If a Referred Customer purchases through a different device, account, browser, network or after a substantial time gap, attribution may be lost.
- If multiple Partners are associated with the same customer journey, DAAI may, at its sole discretion, attribute the referral to the first verified Partner, the last verified Partner, or split it — and DAAI’s decision shall be final.
- DAAI shall not be liable for any loss, damage or claim arising from tracking failure, third-party platform changes, browser updates, ad-blockers, customer error or system downtime.
- The Partner is solely responsible for ensuring the correct referral link or code is used and registered before purchase.
Taxes & Compliance
- All commissions are paid in Indian Rupees (INR), subject to applicable Goods and Services Tax (GST), Tax Deducted at Source (TDS) and any other levies under Indian law.
- The Partner is solely responsible for reporting commission income, paying any income tax, GST, professional tax or other statutory dues, and for maintaining their own books and tax filings.
- If the Partner is registered under GST, the Partner must raise a valid tax invoice in accordance with DAAI’s instructions before payout is released. Incorrect invoices may delay or void the payout.
- If the Partner is not registered under GST, DAAI may deduct TDS at applicable rates and remit it to the tax authorities; the Partner shall not have any claim against DAAI for such deduction.
- The Partner must provide a valid PAN. In the absence of a valid PAN, TDS may be deducted at the highest applicable statutory rate.
- The Partner shall indemnify DAAI against any tax demands, penalties, interest or compliance costs arising from the Partner’s incorrect information, non-compliance, mis-classification or evasion.
- Nothing in this Program shall be construed as DAAI providing tax, legal, financial or accounting advice; the Partner shall consult their own advisors.
Program Modification & Termination Rights
- DAAI may, at any time and at its sole discretion, modify, amend, suspend, pause, replace or terminate the Program — in whole or in part, with respect to any region, customer segment, product, plan, tier or Partner — with or without prior notice.
- DAAI may publish revised Terms & Conditions on this page from time to time. The revised terms shall apply prospectively from the date of publication. Continued participation in the Program after publication constitutes the Partner’s acceptance of the revised terms.
- The Partner may exit the Program at any time by giving written notice to partner@daaisuite.com. On exit, commissions accrued up to the date of exit, if any, shall be paid only if and to the extent they are verified and earned as per these terms; pending, unverified or disputed commissions may be forfeited at DAAI’s discretion.
- DAAI may terminate any Partner account immediately and without notice in case of fraud, breach, misrepresentation, brand misuse, data misuse, regulatory issue, conflict of interest, or any conduct that the Company reasonably considers harmful to its interests.
- On termination of the Program or a Partner account, all unverified, suspended, disputed, fraudulent or below-threshold commissions shall stand cancelled, and the Partner shall have no claim, monetary or otherwise, against DAAI.
- Termination shall not affect any rights or remedies that have accrued to DAAI prior to termination, including the right to recover wrongful or fraudulent commission payments.
No Employment, Agency Or Partnership
- The relationship between DAAI and the Partner is strictly that of independent principals. Nothing in the Program shall be construed to create an employer-employee, partnership, joint venture, agency, distributorship, franchise or fiduciary relationship.
- The Partner is not authorised to enter into any contract, make any commitment, accept any payment, issue any quotation, sign any document, give any warranty or assume any obligation on behalf of DAAI.
- The Partner shall not represent themselves as an employee, official, authorised representative, reseller, distributor or licensee of DAAI.
- The Partner is not entitled to any employee benefits, statutory benefits, retainer, salary, allowance, leave, insurance, provident fund, gratuity or any similar payment from DAAI.
- The Partner is not granted exclusivity over any geography, customer, industry, vertical or product. DAAI may engage other Partners, run direct sales, run other marketing programs and pursue any customer at its discretion.
- The Partner shall not claim any right of ownership, contact, interference, control or first-refusal over any Referred Customer. All customer relationships, data, contracts and contact rights vest exclusively with DAAI.
- The Partner shall not solicit Referred Customers away from DAAI or interfere with DAAI’s ongoing customer relationships during or after participation in the Program.
Disclaimers & Limitation Of Liability
- No guaranteed earnings. DAAI does not guarantee any minimum, average or maximum earnings to any Partner. Earnings depend entirely on the Partner’s efforts, market conditions, customer behaviour and many factors outside DAAI’s control. Any examples, projections or testimonials are illustrative only and not promises.
- Program provided “as-is”. The Program, including the dashboard, tracking links, marketing materials and any tools provided to Partners, is offered on an “as is” and “as available” basis without warranties of any kind, express or implied.
- No liability for indirect loss. To the maximum extent permitted by law, DAAI shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profit, business, opportunity, goodwill or data, arising out of or related to the Program.
- Cap on direct liability. DAAI’s aggregate liability to any Partner under or in connection with the Program shall not exceed the total verified commissions actually paid by DAAI to that Partner in the three (3) months immediately preceding the event giving rise to the claim.
- Force majeure. DAAI shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, government action, regulatory change, network failure, banking outage, cyber-attack or strike.
- Indemnity by Partner. The Partner shall defend, indemnify and hold harmless DAAI, its directors, officers, employees, affiliates and agents from and against any claims, damages, losses, costs, penalties and expenses (including reasonable attorney fees) arising out of (a) the Partner’s breach of these terms, (b) the Partner’s violation of any applicable law, (c) any misrepresentation made by the Partner to a Referred Customer, (d) any tax demand attributable to the Partner, and (e) any third-party claim relating to the Partner’s conduct.

Frequently Asked Questions
Who can join the DAAI Suite Referral Partner Program?
Any individual 18 years or older, or any legal entity, that meets the eligibility rules and is approved by DAAI. The Program is well-suited for consultants, Chartered Accountants, compliance professionals, business advisors, coaches, HR consultants, and individuals with a genuine network of business owners.
Is there any fee to join?
No. There is no enrolment fee. However, DAAI may decline any application at its discretion, and approval is conditional on successful KYC and verification.
How will I know if my referral has been registered?
Approved Partners are provided access to a partner ledger or report that records qualified referrals and commission entries. DAAI’s records shall be deemed final.
When will I get paid?
Verified commissions above the minimum threshold of INR 5,000 are released quarterly on a target basis (see Payout Conditions). DAAI may delay any payout for verification, regulatory or compliance reasons.
What happens if the customer cancels?
If a Referred Customer cancels, defaults, is refunded or initiates a chargeback, the corresponding commission shall be cancelled, reversed or recovered from current / future payouts. Future commissions for that customer also cease.
Can I refer myself or my own business?
No. Self-referrals, referrals through related parties, employer accounts, family-owned entities or any account controlled directly or indirectly by the Partner are strictly prohibited and will result in disqualification.
What if two Partners refer the same customer?
DAAI will attribute the referral as per its internal attribution logic and final decision, which may favour the first verified Partner, the last verified Partner, or split the commission. The Company’s decision shall be final.
Can DAAI change the commission rate?
Yes. DAAI may revise, reduce, increase, restructure or discontinue commission rates, tiers, qualifying plans and the commission duration at any time, with or without prior notice. The applicable rate is the one in effect when the customer payment is received.
Do I have any rights over the customer I refer?
No. All customer relationships, contracts, contact rights and data belong exclusively to DAAI. Partners must not solicit, interfere with or pitch other products to Referred Customers without DAAI’s prior written consent.
Will TDS / GST be deducted from my payout?
Yes, where applicable. TDS will be deducted as per Indian tax law. If you are GST registered, you may be required to raise a valid tax invoice. Partners are solely responsible for their own tax compliance and reporting.
Can DAAI terminate the Program?
Yes. DAAI may modify, pause or terminate the Program at any time, in whole or in part, at its sole discretion. Unverified, suspended, disputed, fraudulent or below-threshold commissions may stand cancelled on termination.
How do I raise a dispute?
Email partner@daaisuite.com within 15 days of the published payout date. The parties will attempt mutual resolution within 30 days, failing which the Jurisdiction clause shall apply.
Terms & Conditions
These Terms & Conditions (“Terms”) govern your participation in the DAAI Business Suite Referral Partner Program. By applying, registering, sharing a referral link or accepting any commission, you confirm that you have read, understood and irrevocably agreed to be bound by these Terms in full.
1. Definitions
“Company” / “DAAI” means DAAI Business Suite and its affiliates. “Partner” means an individual or entity approved by DAAI to participate in the Program. “Referred Customer” means a prospective customer introduced to DAAI by a Partner in accordance with these Terms, who subsequently subscribes to a paid plan. “Qualified Referral” means a referral that satisfies all conditions described in the Referral Qualification Rules section. “Commission” means the amount payable by DAAI to the Partner in respect of a Qualified Referral as per the prevailing commission structure.
2. Enrolment & Verification
- DAAI may approve, reject, suspend or terminate any application without assigning a reason.
- The Partner shall provide accurate, current and complete information at all times. Any change in contact, address, banking, GST or PAN details must be communicated to DAAI within seven (7) days.
- DAAI may, at its discretion, conduct KYC, identity, address, financial, employment or background checks before approval and at any time during the Program.
- Providing false, forged or misleading information shall be a material breach and grounds for immediate termination, forfeiture of commissions and legal action.
3. Referral Attribution
- Attribution is recognised only when the Referred Customer uses the Partner’s unique referral link or code, or the customer is formally mapped to the Partner in DAAI’s CRM before any payment is made.
- Customers who contacted DAAI directly, are already in DAAI’s pipeline, have a prior trial, prior demo, prior quotation or prior conversation history, are not eligible referrals.
- The Partner shall not interfere with DAAI’s direct sales process or attempt to “re-tag” customers already in motion.
- DAAI’s attribution decision shall be final, binding and not subject to challenge by the Partner.
4. Commissions
- Commissions are payable only on Qualified Referrals and on actual, retained subscription payments, excluding taxes, refunds, discounts and non-subscription revenue.
- DAAI may modify commission rates, tiers, durations and qualifying products at any time without prior notice. The applicable rate is the rate in effect on the date payment is received from the Referred Customer.
- No commission is payable on free trials, free plans, internal accounts, complimentary accounts, promotional accounts, or accounts created by DAAI for its own use.
- Commissions for renewals, upgrades or add-ons are payable only if and to the extent expressly indicated in the prevailing commission structure and only within the original 36-month commission window.
5. Payouts
- Verified commissions above INR 5,000 are released quarterly via Indian bank transfer to the verified account on record.
- DAAI may withhold any payout for up to 180 days from the relevant quarter-end for verification, fraud screening, audit, refund risk, regulatory or banking reasons. No interest shall accrue on withheld amounts.
- Bank charges, intermediary charges, reversal charges or wrong-account credits caused by incorrect Partner information shall be borne by the Partner.
- Commission balances unclaimed or unpaid due to invalid bank details, Partner inactivity, non-response, or KYC failure for twelve (12) consecutive months may be forfeited.
6. Refunds, Cancellations & Clawbacks
- Where a Referred Customer’s payment is refunded, reversed, charged back, disputed, written off or otherwise not retained by DAAI, the corresponding commission shall be cancelled or recovered.
- If recoverable amounts exceed the available balance, the Partner shall refund such excess to DAAI within fifteen (15) days of written demand, failing which DAAI may pursue legal recovery and interest at the applicable rate.
- Commissions paid in error, by mistake, due to system glitches or due to fraud are recoverable in full.
7. Partner Conduct
- The Partner shall promote DAAI Business Suite truthfully, ethically and lawfully, using only approved marketing materials and accurate descriptions of features, pricing, support and roadmap.
- The Partner shall not spam, send unsolicited bulk communications, scrape data, impersonate DAAI, bid on DAAI brand keywords, run misleading ads, or engage in any deceptive practice.
- The Partner shall not offer cash-backs, kickbacks, side discounts, gifts or any inducement to the Referred Customer to sign up.
- The Partner shall comply with the Information Technology Act, Consumer Protection Act, Digital Personal Data Protection Act, advertising codes and any other applicable law.
- The Partner shall maintain confidentiality of any non-public information accessed during the Program and shall not disclose such information without DAAI’s prior written consent.
- The Partner shall promptly notify DAAI of any suspected fraud, abuse, data breach, regulatory inquiry or third-party complaint relating to the Program.
8. Branding & Intellectual Property
- DAAI grants the Partner a limited, revocable, non-exclusive, non-transferable, royalty-free licence to use DAAI’s logo, trademarks and approved marketing materials only for the purpose of promoting Qualified Referrals under the Program, strictly in accordance with DAAI’s brand guidelines.
- The Partner shall not alter, distort, combine, sub-licence or register any DAAI mark, name or domain variant, and shall immediately cease all use of DAAI marks upon termination or on DAAI’s written request.
- All intellectual property in DAAI Business Suite, its marketing materials, dashboards and underlying technology vests exclusively with DAAI, and nothing in the Program shall be construed to transfer or licence such intellectual property except as expressly stated.
9. Data Protection & Privacy
- The Partner shall handle any personal data of prospects and Referred Customers lawfully, with appropriate consent, and only for the purpose of referring them to DAAI.
- The Partner shall not sell, share, store, mine or further process such personal data for any other purpose.
- The Partner shall comply with the Digital Personal Data Protection Act, 2023 and any other applicable data protection law, and shall indemnify DAAI for any breach.
- Any misuse of customer data, sharing of confidential information, or unauthorised access shall be a material breach and grounds for immediate termination and legal action.
10. Anti-Fraud & Audit
- DAAI reserves the right to investigate any referral, payout or Partner activity at any time using manual, automated or third-party means.
- The Partner shall cooperate fully with such audits and provide documents, evidence and explanations within timelines communicated by DAAI.
- Failure to cooperate, or detection of fraudulent activity, may result in disqualification, forfeiture, clawback, blacklisting and legal action.
11. Suspension & Termination
- DAAI may suspend or terminate the Partner account at any time, with or without notice and with or without reason.
- Termination shall result in immediate cessation of all rights of the Partner, including access to dashboards, tracking and marketing materials.
- Unverified, suspended, disputed, fraudulent or below-threshold commissions shall stand cancelled on termination.
- Clauses relating to confidentiality, indemnity, intellectual property, limitation of liability, clawback, jurisdiction and dispute resolution shall survive termination.
12. Modification Of Terms & Program
- DAAI may amend these Terms and / or the Program structure at any time by publishing a revised version on this page.
- The revised Terms shall apply prospectively. Continued participation in the Program after such publication shall constitute the Partner’s unconditional acceptance.
- It is the Partner’s responsibility to review this page periodically.
13. No Guarantee & No Reliance
- DAAI makes no guarantee or representation about the number of referrals, the conversion rate, customer retention, or the earnings of any Partner.
- The Partner acknowledges that any examples, projections, illustrations or testimonials are indicative only, not promises, and shall not be relied upon.
- The Partner participates in the Program at their own commercial risk.
14. Independent Status & Non-Exclusivity
- The Partner is an independent person and not an employee, agent, partner, distributor, franchisee or representative of DAAI.
- The Program is non-exclusive. DAAI may engage other partners, channels, resellers, distributors or direct sales — including in the same geography, industry or customer segment — without any obligation to the Partner.
- The Partner shall not claim any exclusivity, territory rights, customer ownership rights or right of first refusal.
15. Taxes
- The Partner shall be solely responsible for payment of income tax, GST, professional tax and any other statutory levies on commissions.
- DAAI may deduct TDS and other statutory deductions as required by law and remit them to the authorities. The Partner shall claim credit through their own tax filings.
- The Partner shall indemnify DAAI against any tax demand, penalty, interest or compliance cost attributable to the Partner.
16. Limitation Of Liability
- To the maximum extent permitted by law, DAAI shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages of any kind.
- DAAI’s aggregate liability to a Partner shall not exceed the verified commissions actually paid to that Partner in the three (3) months immediately preceding the event giving rise to the claim.
- This limitation shall apply even if DAAI has been advised of the possibility of such damages.
17. Indemnity
The Partner shall defend, indemnify and hold harmless DAAI, its affiliates, directors, officers, employees and agents from any third-party claim, demand, suit, penalty, liability, cost or expense (including reasonable legal fees) arising out of or relating to (a) the Partner’s breach of these Terms; (b) the Partner’s violation of applicable law; (c) misrepresentations made by the Partner to any prospect or customer; (d) the Partner’s tax non-compliance; or (e) any act or omission of the Partner that exposes DAAI to legal, financial, regulatory or reputational risk.
18. Force Majeure
DAAI shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, government action, regulatory change, internet outage, banking failure, cloud-service downtime, cyber-attack, labour disputes or strikes.
19. Governing Law & Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of India.
- Subject to the dispute resolution clause below, the courts at Ahmedabad, Gujarat, shall have exclusive jurisdiction over any disputes arising out of or in connection with the Program.
20. Dispute Resolution
- In case of any dispute, the parties shall first attempt to resolve the matter amicably through written communication within thirty (30) days of notice.
- Failing such resolution, the dispute may be referred to sole arbitration under the Arbitration and Conciliation Act, 1996, seated in Ahmedabad, conducted in English. The award of the arbitrator shall be final and binding.
- Notwithstanding the above, DAAI may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, brand, customer data, confidentiality or financial interests.
21. Entire Agreement & Severability
- These Terms, together with any program policies referenced or published by DAAI, constitute the entire understanding between the parties regarding the Program and supersede all prior discussions, communications, brochures, PDFs and representations.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
22. Final Authority
Wherever discretion, interpretation, approval, attribution, payout, deduction, eligibility or termination is referenced in these Terms, the decision of DAAI shall be final, binding and not open to challenge. By participating in the Program, the Partner expressly accepts this final authority and waives any claim to the contrary.
